Terms and Conditions
Effective date: April 15, 2026
1. Overview
Number Registry ("we", "us", "our") operates the website at numberregistry.co and associated services (the "Platform"). By accessing the Platform or purchasing a Number Certificate, you ("you", "User") agree to be bound by these Terms and Conditions ("Terms") in full. If you do not agree, you must not use the Platform.
These Terms govern your use of the Platform, including browsing, purchasing Number Certificates, reselling them on the secondary marketplace, and any other interaction with our smart contracts or services.
2. What You Are Buying
When you purchase a Number Certificate, you are acquiring a non-fungible token (NFT) — a unique cryptographic asset recorded on a public blockchain — that corresponds to a specific positive integer (the "Number"). The token ID on the blockchain equals the Number itself.
Owning a Number Certificate means:
- You hold the NFT in your designated wallet address.
- Your ownership is publicly recorded on the blockchain and cannot be altered by Number Registry or any third party.
- You may transfer, gift, or sell your Number Certificate to another party.
- You may associate a name and description with your Number, which is stored on-chain.
Owning a Number Certificate does not mean:
- You hold any trademark, copyright, patent, or other intellectual property right in the number as a concept.
- You have any exclusive legal right to use the number in commerce, signage, or any other context outside the Platform.
- Number Registry guarantees or warrants any monetary value, resale price, or future utility of the Number Certificate.
A Number Certificate is a digital collectible. It is not a financial instrument, security, investment product, or commodity. We make no representations about its future value.
3. Eligibility
You must be at least 18 years of age to purchase a Number Certificate. By completing a purchase, you represent and warrant that you are 18 or older and have the legal capacity to enter into a binding contract in your jurisdiction.
If you are purchasing on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
4. Purchases and Payment
Purchases are processed through Crossmint, a third-party payment and minting service. By completing a purchase, you also agree to Crossmint's terms of service and privacy policy. Number Registry is not responsible for payment processing errors, failed transactions, or issues originating within Crossmint's systems.
Listed prices are denominated in US Dollars (USD). The actual ETH transaction on the blockchain is executed by our administrative systems on your behalf. Prices are set at our discretion and may change at any time; the price displayed at the time you initiate a purchase is the price you will pay for that transaction.
A small transaction fee may apply, as disclosed at the time of purchase. This fee covers the cost of executing the blockchain transaction and is non-refundable.
5. No Refunds
All purchases are final and non-refundable. Once a Number Certificate has been minted to your wallet address, the transaction is permanently recorded on the blockchain and cannot be reversed, cancelled, or undone by Number Registry or any other party.
You acknowledge that the irreversible nature of blockchain transactions is a fundamental characteristic of the technology, not a limitation of our service, and you accept this condition before completing any purchase.
In the rare event of a documented technical failure on our part (for example, a payment was processed by Crossmint but the NFT was not delivered to your wallet), please contact us at hello@numberregistry.co. We will investigate and, at our sole discretion, may issue a correction mint, a store credit, or a refund as appropriate.
6. Heritage Reservations
Certain numbers are designated as Permanent Heritage and cannot be claimed by any individual. These include numbers of deep mathematical, historical, cultural, or scientific significance (such as π, e, 42, 911, and others), as well as numbers with documented associations with hate movements or extremist ideologies.
By using the Platform, you acknowledge and agree that:
- Heritage designations are made at our sole discretion.
- The list of Heritage numbers may be expanded at any time.
- No compensation is owed to any party if a number they attempted to claim is designated Heritage.
- If a number you own is later found to have been incorrectly made available (e.g., due to a contract error), we reserve the right to remedy the situation. We will make reasonable efforts to contact affected owners before taking any corrective action.
Numbers with hateful or extremist associations are permanently blocked because allowing their individual ownership would conflict with the values of this Platform. We do not negotiate exceptions to this policy.
7. Descriptions and Content
When you register a Number Certificate, you may provide a name and a description that is stored on the blockchain alongside your number. You are solely responsible for the content you submit.
You agree that descriptions you submit will not:
- Contain hate speech, slurs, or content promoting discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin.
- Constitute harassment, threats, or targeted abuse of any individual or group.
- Promote or glorify violence, terrorism, or illegal activity.
- Infringe any third party's copyright, trademark, or other intellectual property rights.
- Constitute defamation or false statements of fact about any person or entity.
- Contain personally identifiable information about another person without their consent.
- Constitute spam, advertising, or promotional content unrelated to your personal ownership of the number.
On-chain permanence: Descriptions are written directly to the blockchain. While we can update a description via our administrative key (for example, to remove prohibited content), we cannot delete it from blockchain history. By submitting a description, you acknowledge this and accept full responsibility for the content.
We reserve the right to overwrite any description that violates these Terms, using our administrative role, without prior notice. Repeated violations may result in suspension of your ability to use the Platform. Removal or modification of a description that violates these Terms does not constitute grounds for a refund and does not affect the validity of the original purchase.
To report a description that violates these Terms — including content that contains personal information about another person without their consent — contact us at abuse@numberregistry.co. We will review reports within 14 business days of receipt.
8. Gifting
The Platform allows you to purchase a Number Certificate on behalf of another person ("Gift Recipient"). When you purchase a gift, you represent that you have the recipient's consent to provide their email address to us for the purpose of delivering the certificate. The NFT is delivered to a wallet address associated with the recipient at the time of purchase.
Gift purchases are subject to the same no-refund policy as standard purchases. If the recipient does not wish to keep the Number Certificate, they may sell or transfer it on the secondary marketplace.
9. The Secondary Marketplace
The Platform includes a secondary marketplace where Number Certificate holders may list their certificates for sale and buyers may purchase them. All marketplace transactions are executed directly on the blockchain via smart contracts.
A platform fee of 5% is deducted from the sale price on every secondary transaction. An additional royalty of 5% is paid to Number Registry as the original creator, as recorded in the EIP-2981 royalty standard. Sellers receive approximately 90% of the sale price.
Number Registry acts only as the operator of the smart contract infrastructure. We are not a party to individual transactions between buyers and sellers. All sales are final once confirmed on the blockchain.
We reserve the right to delist any listing that violates these Terms at our discretion, including by using our administrative role to update on-chain state where the contract permits.
10. Blockchain and Smart Contract Risks
By using the Platform, you acknowledge and accept the following risks inherent to blockchain technology:
- Irreversibility: Blockchain transactions cannot be reversed. Errors in wallet addresses, amounts, or other parameters cannot be undone.
- Smart contract risk: Our smart contracts have been designed carefully, but no software is free of bugs. A vulnerability in the contract could result in loss of assets. We are not liable for losses arising from smart contract bugs or exploits outside our reasonable control.
- Network risk: The Ethereum or Base network may experience congestion, forks, or outages that delay or fail transactions. We are not responsible for losses arising from network-level events.
- Wallet security: You are solely responsible for securing your wallet's private keys. Number Registry has no ability to recover lost wallets or reverse transactions made from a compromised wallet.
- Regulatory risk: The legal and regulatory treatment of NFTs varies by jurisdiction and may change. You are responsible for determining the legal status of NFT ownership and transactions in your jurisdiction.
- Contract migration: We reserve the right to deploy updated versions of the smart contracts (for example, when migrating from testnet to mainnet, or to patch a critical vulnerability). We will make reasonable efforts to communicate contract migrations in advance. Prior contract deployments may be retired.
11. Intellectual Property
The Number Registry name, logo, website design, and all original creative content on the Platform are owned by Number Registry and protected by applicable intellectual property law. Nothing in these Terms grants you any licence to use our branding, trademarks, or creative assets.
You retain full ownership of any original creative content you submit as a description. By submitting a description, you grant Number Registry a perpetual, irrevocable, worldwide, royalty-free licence to display, reproduce, and distribute that content in connection with operating the Platform (including displaying it on number pages, in certificate emails, and in metadata served to third-party marketplaces).
12. Privacy
We collect your email address (provided during purchase via Crossmint) for the purpose of sending your certificate and service-related communications. We do not sell your personal information to third parties.
Wallet addresses and on-chain descriptions are public by nature of the blockchain. Do not include any personal information in a description that you would not want to be permanently and publicly visible.

13. Disclaimers
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.
We do not warrant that the Platform will be error-free, that defects will be corrected, or that the Platform or the server that makes it available are free of viruses or other harmful components.
Number Certificates are not investments. We make no representation that any Number Certificate will appreciate in value, maintain its value, or be tradeable in the future. You should not purchase a Number Certificate with the expectation of profit.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Number Registry and its officers, directors, employees, and affiliates will not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages;
- Loss of profits, revenue, data, goodwill, or other intangible losses;
- Damages arising from your inability to access or use the Platform;
- Damages arising from any unauthorised access to or use of our servers or any personal information stored therein;
- Damages arising from third-party conduct, including other users, Crossmint, wallet providers, or blockchain network participants.
In any event, our total cumulative liability to you for all claims arising from or related to these Terms or the Platform shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
15. Indemnification
You agree to indemnify, defend, and hold harmless Number Registry and its officers, directors, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Platform; (b) any description or content you submit; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.
16. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You consent to the personal jurisdiction of the state and federal courts located in California for any matters not subject to arbitration.
We both agree to try to resolve disputes informally first. If you have a concern, please contact us at hello@numberregistry.co. We will attempt to resolve the dispute through good-faith negotiation for at least 30 days before either party initiates formal proceedings.
If the dispute is not resolved through negotiation:
- Claims under $10,000: Either party may bring the claim in small claims court in the county where you reside in California, or in Santa Clara County, California.
- All other claims: The dispute will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, conducted in English. The arbitration will take place in California or, at your election, by videoconference or telephone. The AAA rules are available at adr.org. The arbitrator's award is binding and may be entered as a judgment in any court of competent jurisdiction.
Class action waiver: You and Number Registry each agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration. Nothing in this section limits any right you may have to bring an individual claim in small claims court or to seek public injunctive relief under applicable law.
17. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the effective date at the top of this page. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms.
For significant changes (for example, changes to the fee structure or the heritage reservation policy), we will make reasonable efforts to notify users via the email address associated with their purchase.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will otherwise remain in full force and effect.
